The Sale and Purchase Agreement (SPA) is the legally binding purchase contract that sets out the terms between buyer and seller or developer.
It governs the purchase price, payment plan, handover date, specifications and the consequences of default, on both sides. For off-plan the SPA usually follows a reservation form and the first down payment.
The SPA is the moment where details count: default clauses, the definition of completion and rights of withdrawal. Anyone who only skims here pays for it later.
